01Acceptance of terms
These Terms & Conditions ("Terms") form a binding agreement between you and Sublime LMS ("Sublime", "we", "us"). They apply to your use of our websites, applications, and learning platform (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
02Accounts & eligibility
To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information and to keep it up to date.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You must notify us promptly of any unauthorized use or security breach.
- Accounts are intended for the registered user or organization; you may not share access in violation of your plan.
- You must be at least the age of majority in your jurisdiction, or have appropriate institutional authorization, to use the Service.
03Subscriptions & billing
Paid plans are billed in advance on a monthly or annual basis according to the plan you select. Fees are non-refundable except where required by law or expressly stated.
- Renewals. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- Changes. Upgrades take effect immediately and are prorated; downgrades take effect at the next billing period.
- Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
- Cancellation. You may cancel at any time from your account settings; access continues through the end of the paid period.
Free trials and education or non-profit pricing may be offered at our discretion and are subject to these Terms.
04Acceptable use
You agree not to misuse the Service. You will not, and will not permit others to:
- Violate any applicable law or infringe the rights of others.
- Upload malicious code, attempt to gain unauthorized access, or disrupt the integrity of the Service.
- Reverse engineer, resell, or sublicense the Service except as permitted by your plan.
- Use the Service to distribute spam, harassment, or unlawful, harmful, or deceptive content.
- Scrape, harvest, or collect data from the Service without authorization.
05Your content
You retain ownership of the content you upload — courses, videos, quizzes, assignments, and learner data ("Your Content"). You grant Sublime a limited license to host, process, and display Your Content solely to provide and improve the Service.
You are responsible for ensuring you have the rights to Your Content and that it complies with these Terms and applicable law. We may remove content that violates these Terms.
06Intellectual property
The Service, including its software, design, branding, and underlying technology, is owned by Sublime and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
"Sublime LMS", the Sublime logo, and related marks are trademarks of Sublime. You may not use them without prior written permission.
07Service availability
We strive to keep the Service available and performant, and we target high uptime as described in any applicable service-level commitments. However, the Service may be temporarily unavailable for maintenance, updates, or factors beyond our control.
08Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or use the Service in a way that risks harm to others or to us.
On termination, your right to use the Service ceases. We will make Your Content available for export for a reasonable period where practicable, after which it may be deleted in accordance with our data-retention practices.
09Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
10Limitation of liability
To the maximum extent permitted by law, Sublime will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim is limited to the amounts you paid for the Service in the twelve months preceding the claim.
11Changes to terms
We may update these Terms from time to time. When we make material changes, we will provide notice through the Service or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.
